3. Relationship with the Grant Terms and Conditions
We operate a private commercial grant programme known as the New Patient Growth Grant. Applications for the grant are made through an application form on the Website. Your application for, and any receipt of, the grant is governed by the New Patient Growth Grant Terms and Conditions published on the Website (Grant Terms), not by these Terms of Use.
These Terms of Use govern your use of the Website generally. If there is any inconsistency between these Terms of Use and the Grant Terms in relation to the grant programme, the Grant Terms prevail to the extent of the inconsistency.
4. Acceptable Use
You may use the Website only for lawful purposes. When using the Website, you must not:
• use the Website in any way that breaches any applicable law or regulation, or that infringes the rights of any person;
• submit information through any form on the Website that is false, misleading, or that you are not authorised to provide;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity, including a health clinic;
• introduce viruses, malware, or other harmful code, or attempt to gain unauthorised access to the Website, its servers, or any connected system;
• use any automated means (including bots, scrapers, or data mining tools) to access, monitor, or copy the Website or its content without our prior written consent;
• interfere with or disrupt the operation of the Website or the servers or networks that host it; or
• frame, mirror, or reproduce any part of the Website on any other website or platform without our prior written consent.
We may suspend or restrict your access to the Website, acting reasonably, if we believe you have breached this clause. If you have submitted a grant application, any suspension of Website access does not of itself affect your application, which will be dealt with under the Grant Terms.
5. Grant Application Portal
The Website includes an application form for the New Patient Growth Grant. In addition to your obligations under the Grant Terms, when using the application form you must ensure that all information you submit is accurate, complete, and current, and that you are authorised to submit the application on behalf of the clinic identified in it.
Submitting an application through the Website does not create any entitlement to receive the grant. Selection is merit-based and is carried out in accordance with the Grant Terms.
We take reasonable steps to ensure the application form operates reliably, but we do not guarantee that the form will be available or error-free at all times. If you experience a technical problem submitting an application before the closing date, contact us using the details in clause 12 as soon as possible.
6. Intellectual Property
All content on the Website — including text, graphics, logos, page layout, images, downloadable documents, and the compilation of that content — is owned by or licensed to us and is protected by Australian and international intellectual property laws, including the Copyright Act 1968 (Cth).
You may view the Website and print or download extracts for your personal or internal business use in considering the grant programme or our services. You must not otherwise reproduce, adapt, distribute, publish, or commercially exploit any Website content without our prior written consent.

11. Liability
Australian Consumer Law. Nothing in these Terms of Use excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot lawfully be excluded, restricted, or modified. Where our liability under such a provision can lawfully be limited, our liability is limited, at our option, to the resupply of the relevant services or the payment of the cost of having the relevant services supplied again.

Each party's liability under or in connection with these Terms of Use is reduced to the extent that the other party's acts or omissions caused or contributed to the relevant loss or damage.

13. General
Severability. If any provision of these Terms of Use is or becomes invalid, unenforceable, or illegal, it will be severed and the remaining provisions will continue in full force.
Waiver. A failure or delay by us to exercise any right under these Terms of Use does not constitute a waiver of that right.
Assignment. You may not assign your rights under these Terms of Use. We may assign our rights and obligations under these Terms of Use to a related body corporate or a purchaser of our business, provided the assignee agrees to be bound by these Terms of Use.
14. Governing Law
These Terms of Use are governed by the laws of Western Australia, Australia. You and we each irrevocably submit to the non-exclusive jurisdiction of the courts of Western Australia.
